SUMMARY (NON-BINDING)

We Get Around Network (“WGAN”) provides an online community, resources, and related services. We encourage open discussion and respectful participation. Spam, malware, harassment, hate content, and illegal activity are not allowed. If you opt in to SMS/text messages, you can opt out anytime by replying STOP.

DEFINITIONS

“Company,” “WGAN,” “we,” “us,” “our” means WGAN HOLDINGS INC DBA We Get Around Network.
“Website” means https://www.wegetaroundnetwork.com/ and related pages, forums, and services we provide.
“Services” means the Website, community features, content, tools, messaging, and any paid or free services we offer.
“You” or “User” means any person or entity using the Website or Services.
“Content” means all content on the Website, including text, images, posts, comments, files, and links.
“User Content” means Content you submit or make available through the Services.

WHO OPERATES THE WEBSITE / PLATFORM NOTICE

WGAN operates the Website and Services.

The Website may be hosted or powered by third-party platforms and vendors (including NinjaPost) that provide hosting and community/forum functionality. We also use third-party providers to support communications and messaging (including HighLevel/GoHighLevel for SMS/MMS delivery and related workflow tools). These providers may process information on our behalf to deliver the Services. Your use of third-party services may also be subject to their terms and policies.

ELIGIBILITY

You must be at least 13 years old to use the Website. If you are under 18, you may use the Services only with permission of a parent or legal guardian.

ACCEPTANCE OF TERMS

By accessing or using any part of the Website or Services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.

PRIVACY

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you agree to our Privacy Policy.

ACCOUNTS AND SECURITY

If you create an account:

You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must provide accurate information and keep it updated.
You must notify us immediately of any unauthorized access or security breach.

We may suspend or terminate accounts that violate these Terms or create risk for the community or the Company.

COMMUNITY RULES / ACCEPTABLE USE

You agree NOT to:

Post or transmit spam, scams, or deceptive content
Upload or distribute viruses, malware, or harmful code
Harass, threaten, stalk, dox, or intimidate others
Post hate content or content that promotes violence or discrimination
Post unlawful, obscene, defamatory, or infringing content
Impersonate others or misrepresent your affiliation
Attempt to gain unauthorized access to accounts or systems
Use automated means to scrape, crawl, or overload the Services without our written permission

We can remove content and restrict access at our discretion if we believe content or behavior violates these Terms or harms the community.

USER CONTENT (YOUR RESPONSIBILITY)

You are solely responsible for your User Content and the consequences of posting it.

By posting User Content, you represent and warrant that:

You have the rights to post it and it does not infringe others’ rights (copyright, trademark, privacy, etc.).
It does not contain malicious code.
It does not violate any law or these Terms.

We are not responsible for User Content posted by users.

LICENSE YOU GRANT TO WGAN

You retain ownership of your User Content. However, by submitting User Content, you grant WGAN a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, distribute, and modify (for formatting/technical purposes) your User Content solely to operate, improve, promote, and provide the Services.

If you delete User Content, we will make reasonable efforts to remove it from public display, but you acknowledge that:

copies may remain in backups for a limited time, and
caching or references may not be removed immediately.

CONTENT MODERATION AND ENFORCEMENT

We may (but are not required to) review, monitor, or remove User Content. We may:

remove or refuse to publish content,
suspend or terminate accounts,
restrict access to the Services,
at any time, for any reason, including to enforce these Terms.

PAID SERVICES (IF APPLICABLE)

Some Services may be offered for a fee (for example: memberships, sponsorships, advertising, events, partner services, or other offerings we may introduce). If you purchase a paid Service:

You agree to pay all applicable fees and taxes.
Unless otherwise stated in writing, fees are non-refundable to the maximum extent permitted by law.
We may change pricing or offerings; if a change affects an active subscription, we will provide reasonable notice.

THIRD-PARTY LINKS AND SERVICES

The Website may include links to third-party websites and services. We do not control, endorse, or assume responsibility for third-party sites, products, or services. Your use of third-party services is at your own risk and subject to their terms.

We may remove content and terminate repeat infringers.

SMS/MMS TEXT MESSAGING TERMS (A2P / 10DLC)

If you opt in to receive SMS/MMS messages from WGAN (delivered using HighLevel/GoHighLevel and its messaging partners), you agree to the following. HighLevel’s guidance expects your Terms to identify the sender, provide opt-out/help instructions, disclose message frequency, and reference your Privacy Policy.

A) TYPES OF MESSAGES
Depending on what you opted into, you may receive:

MEMBERS / COMMUNITY (MARKETING & PROMOTIONAL)

promotions, offers, member updates, announcements, and marketing messages

PARTNERS / VENDORS (APPOINTMENT & OPERATIONAL)

call/appointment confirmations and reminders
scheduling changes
business coordination and operational updates

OTHER MESSAGE TYPES

any additional categories described to you at the point of opt-in

B) CONSENT

By providing your mobile number and opting in, you consent to receive SMS/MMS messages from WGAN related to the message program(s) you selected.
Marketing/promotional texts are sent only if you opted in.
Consent is not a condition of purchase (where applicable).

C) MESSAGE FREQUENCY

Message frequency varies.

D) COSTS

Message and data rates may apply.

E) OPT OUT

Reply STOP to cancel at any time.
After you opt out, you may receive a final confirmation message.

F) HELP

G) MOBILE INFORMATION SHARING (HIGHLEVEL REQUIRED LANGUAGE)
No mobile information will be shared with third parties/affiliates for marketing/promotional purposes. Information sharing to subcontractors in support services, such as customer service, is permitted. All other use case categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties.

H) CARRIERS
Carriers are not liable for delayed or undelivered messages.

DISCLAIMER OF WARRANTIES

THE WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WGAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WGAN WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL.
WGAN’S TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID TO WGAN (IF ANY) IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR $100 IF YOU PAID NOTHING.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

INDEMNIFICATION

You agree to indemnify and hold harmless WGAN, its officers, directors, employees, contractors, and agents from any claims, damages, liabilities, and expenses (including attorneys’ fees) arising from:

your use of the Services,
your User Content,
your violation of these Terms, or
your violation of any rights of another.

TERMINATION

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violations of these Terms.

You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including: User Content license (for operational purposes), disclaimers, limitations of liability, indemnification, and dispute terms.

CHANGES TO THESE TERMS

We may update these Terms from time to time. The “Effective Date” shows the latest version. Your continued use of the Services after changes means you accept the updated Terms.

GOVERNING LAW + BINDING ARBITRATION (CALIFORNIA)

A) GOVERNING LAW
These Terms are governed by the laws of the State of California, excluding conflict of laws rules. To the extent the Federal Arbitration Act (“FAA”) applies, the FAA will govern the interpretation and enforcement of this arbitration section.

B) INFORMAL RESOLUTION FIRST
Before either party starts arbitration, the party must send the other party a written notice describing the dispute and the relief requested (“Notice of Dispute”). Send any Notice of Dispute to:

The parties will try in good faith to resolve the dispute within thirty (30) days after the Notice of Dispute is received.

C) BINDING ARBITRATION
If the dispute is not resolved within the 30-day period, any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by JAMS under its applicable rules.

D) LOCATION / FORMAT
Unless the parties agree otherwise, the arbitration will take place in California. The arbitrator may allow hearings by video or telephone where appropriate.

E) EXCEPTIONS
Either party may bring:

individual claims in small claims court (if eligible), and/or
claims for injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

F) NO CLASS OR REPRESENTATIVE ACTIONS
To the maximum extent permitted by law, arbitration will be conducted only on an individual basis. The arbitrator may not consolidate claims or preside over any form of class, collective, or representative proceeding.

G) ARBITRATOR AUTHORITY
The arbitrator may award the same damages and relief that a court could award under law, and must follow these Terms. The arbitrator’s decision will be final and binding, and judgment may be entered in any court with jurisdiction.

H) WAIVER OF JURY TRIAL
YOU AND WGAN EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY COVERED CLAIM.

MISCELLANEOUS

Entire Agreement: These Terms and the Privacy Policy are the entire agreement between you and WGAN regarding the Services.
Severability: If any part is unenforceable, the rest remains in effect.
No Waiver: Failure to enforce any provision is not a waiver.
Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations.
